Tech Data’s Board of Directors is firmly committed to acting in the best interest of the company and its stakeholders, and meeting or exceeding evolving regulatory, stakeholder, business and other requirements. As a governing body, the Board collaborates with senior management with the goal of building long-term shareholder value. The Board operates under our Corporate Governance Principles, which act as the primary structure for the governance of Tech Data. Additionally, our Board is guided by Tech Data’s Global Code of Conduct, which provides a clear set of ethical and legal standards by which we do business.

We believe that our Board should be representative of our colleagues, channel partners and the world around us. This is why the Board’s Governance and Nominating Committee has made a concerted effort to identify strong, diverse candidates that help to expand our Board’s diversity of thought. As a result, we have achieved 40% gender and ethnic diversity on our Board.
We have also received “Winning” status from 2020 Women on Boards for exceeding 20 percent female representation on our Board.
